1. Agreement to Terms

By accessing our website at https://stratatrading.io or purchasing any StrataTrading products, you agree to comply with and be bound by these Terms. If you do not agree to these Terms, please do not use our products or services.

2. Products and Services

StrataTrading offers NinjaTrader 8 indicators, strategies, add-ons, and related trading tools ("Products"). All Products are delivered as downloadable software files and require a valid NinjaTrader 8 license to operate.

2.1 Product Licenses

• License Grant: Upon purchase, you receive a non-exclusive, non-transferable, lifetime license to use the Product on a single computer installation.
• Restrictions: You may not distribute, resell, sublicense, reverse-engineer, decompile, or modify the Product without express written permission from StrataTrading.
• Activation: Products automatically activate on the first computer you use them on. Your license will be tied to that computer.
• Updates: Free updates and bug fixes are included for the lifetime of the license. Major version upgrades may be offered separately.

2.2 Pricing and Payment

• All prices are listed in USD and are subject to change without notice.
• Payment is processed securely through our payment provider.
• One-time purchases grant a perpetual license; there are no recurring subscription fees unless explicitly stated.

3. License Activation and Computer Changes

Each license automatically activates on the first computer you use it on and is tied to that computer. If you need to transfer your license to a different computer (e.g., due to hardware changes, computer replacement, or upgrade), please contact us at support@stratatrading.io with your order details. License transfers may be granted at our discretion and are subject to verification.

4. Refunds and Money-Back Guarantee

10-Day Money-Back Guarantee: We offer a full refund within 10 days of purchase, no questions asked. If our Products don't meet your expectations, simply contact us at support@stratatrading.io with your order details for a complete refund.

After the 10-day period, all sales are final. Please ensure you test the Products thoroughly during this trial period.

5. Disclaimer of Warranties

StrataTrading Products are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to:

• Warranties of merchantability, fitness for a particular purpose, or non-infringement.
• That the Products will be error-free, uninterrupted, or free from defects.
• That results obtained from using the Products will be accurate, reliable, or profitable.

You acknowledge that trading involves significant risk, and no software, indicator, or strategy can guarantee profits or eliminate losses.

6. Limitation of Liability

To the maximum extent permitted by law, StrataTrading and its affiliates, employees, or agents shall not be liable for any:

• Direct, indirect, incidental, consequential, or punitive damages arising from your use of or inability to use the Products.
• Trading losses, missed opportunities, or financial damages resulting from the use of our Products.
• Errors, bugs, or technical issues in the Products, even if we have been advised of the possibility of such damages.

Your sole remedy for dissatisfaction with the Products is to stop using them.

7. Risk Disclosure

Trading futures, stocks, forex, and other financial instruments involves substantial risk of loss and is not suitable for all investors. Past performance is not indicative of future results. StrataTrading Products are tools to assist your analysis and decision-making; they do not provide trading signals or investment advice. You are solely responsible for your trading decisions and outcomes.

8. Intellectual Property

All Products, including but not limited to software code, algorithms, designs, documentation, and branding, are the intellectual property of StrataTrading and are protected by copyright, trademark, and other intellectual property laws. Unauthorized use, reproduction, or distribution is prohibited.

9. User Conduct

You agree not to:

• Share, distribute, or resell your license or Product files.
• Attempt to reverse-engineer, decompile, or extract source code from the Products.
• Use the Products for illegal purposes or in violation of any applicable laws or regulations.
• Misrepresent your affiliation with StrataTrading or use our brand without permission.

10. Third-Party Services

Our Products require NinjaTrader 8, a third-party platform developed and maintained by NinjaTrader Group, LLC. StrataTrading is not affiliated with, endorsed by, or sponsored by NinjaTrader Group, LLC. NinjaTrader® is a registered trademark of NinjaTrader Group, LLC.

You are responsible for maintaining a valid NinjaTrader 8 license and complying with NinjaTrader's terms of service.

11. Support and Updates

We provide email support for installation, activation, and technical issues. Support is provided on a best-effort basis and does not include trading advice or custom development. Free updates and bug fixes are provided for the lifetime of your license.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated "Last Updated" date. Your continued use of the Products after changes constitutes acceptance of the revised Terms.

13. Termination

We may terminate or suspend your license if you violate these Terms, engage in fraudulent activity, or misuse the Products. Upon termination, you must immediately cease using the Products and delete all copies.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the United States and the state in which StrataTrading is registered, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Products shall be resolved through binding arbitration or, if arbitration is unavailable, in the courts of competent jurisdiction.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

16. Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and StrataTrading regarding the use of our Products and supersede all prior agreements or understandings.
